1. Introduction

These Terms & Conditions (“Terms”) govern the use of the Wetaskiwin Agri-Tech Ltd. website and the provision of services by Wetaskiwin Agri-Tech Ltd. (“the Company,” “we,” “us,” or “our”) to clients (“you,” “the Client”) located in Wetaskiwin, Alberta, and surrounding areas. By accessing our website, requesting a quote, or engaging our services, you agree to be bound by these Terms. 

2. Service We Provide

Wetaskiwin Agri-Tech Ltd. provides on-farm technology implementation and support services for small and mid-sized farms and acreages, including but not limited to: 

    • Farm technology assessments 
    • Connectivity and smart yard design 
    • Camera and monitoring system installation 
    • Digital record-keeping and farm office setup 
    • On-farm training and advisory services 
    • Ongoing monitoring and support contracts 

Services are delivered on a fixed-fee project basis, hourly/day-rate advisory basis, or through annual support contracts (Basic, Standard, Premium), as agreed in writing prior to commencement of work. 

3. Quotes, Scope of Work, and Change Orders 

3.1 All projects begin with a written quote or scope of work outlining deliverables, assumptions, inclusions, exclusions, timelines, and Client responsibilities. 

3.2 Quotes are valid for the period stated in the quote document, or for 30 days if no period is specified. 

3.3 Any work requested outside the agreed scope of work will be treated as a change order and may incur additional fees, to be agreed in writing before the additional work begins. 

3.4 The Company reserves the right to decline projects that fall outside its service capabilities or operating area. 

4. Pricing and Payment 

4.1 Pricing for fixed-fee packages, hourly/day-rate advisory work, and support contracts is as set out in the Company’s current pricing schedule or as quoted directly to the Client. All prices are in Canadian dollars (CAD) and are subject to change. 

4.2 Hardware, equipment, and third-party devices sourced on the Client’s behalf may be subject to a disclosed coordination fee or modest markup, as agreed in the quote. 

4.3 Travel beyond the Company’s standard service radius may be billed per kilometer or subject to a minimum call-out fee, as set out in the current pricing schedule. 

4.4 Invoices are due upon receipt unless otherwise agreed in writing. Late payments may be subject to interest charges and/or suspension of ongoing services, including active support contracts. 

4.5 Deposits may be required prior to commencement of certain projects, as specified in the quote. 

5. Client Responsibilities 

5.1 The Client agrees to provide reasonable access to farm property, buildings, and relevant infrastructure (including power and network access where applicable) to allow the Company to perform assessments, installations, and support visits. 

5.2 The Client is responsible for ensuring a safe working environment on-site, including appropriate notice of livestock, machinery, or other hazards relevant to the work being performed. 

5.3 The Client is responsible for maintaining any third-party accounts, subscriptions, or internet service required for continued operation of installed systems, unless otherwise agreed. 

5.4 The Client agrees to provide accurate information relevant to the scope of work, including farm layout, existing infrastructure, and operational requirements. 

6. Equipment and Hardware 

6.1 Unless otherwise agreed, hardware and equipment installed as part of a project become the property of the Client upon full payment. 

6.2 The Company is not the manufacturer of third-party hardware (e.g., cameras, sensors, networking equipment) and does not provide manufacturer warranties. Manufacturer warranties, where available, will be passed through to the Client. 

6.3 The Company will make reasonable efforts to recommend reliable, commercially available equipment suited to farm conditions but does not guarantee uninterrupted operation of any device, particularly where affected by weather, power outages, connectivity issues, or third-party service failures outside the Company’s control. 

7. Support Contracts 

7.1 Support contracts (Basic, Standard, Premium) are offered on an annual basis and include the number of visits and level of remote support specified at the time of purchase. 

7.2 Support contracts do not cover damage caused by misuse, third-party interference, extreme weather events, power surges, pest damage, or acts of God, unless separately agreed. 

7.3 Support contracts renew annually unless cancelled by either party with written notice as specified in the contract. 

8. Training and Advisory Services 

8.1 Training sessions are provided on an as-scheduled basis and are intended to build Client competence in using installed systems and digital tools. 

8.2 The Company does not guarantee specific operational, financial, or yield outcomes as a result of training or advisory services. Recommendations are provided based on the Company’s professional judgment and general industry practice. 

9. Limitation of Liability 

9.1 To the maximum extent permitted by law, the Company’s total liability for any claim arising out of or related to the services provided shall not exceed the total fees paid by the Client for the specific project or contract giving rise to the claim. 

9.2 The Company shall not be liable for indirect, incidental, special, or consequential damages, including but not limited to loss of crops, livestock, income, or data, except to the extent such damages arise from the Company’s gross negligence or willful misconduct. 

9.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable Alberta or Canadian law. 

10. Confidentiality 

The Company will treat farm data, records, and business information shared by the Client as confidential and will not disclose such information to third parties without the Client’s consent, except as required by law or as reasonably necessary to deliver the services (e.g., coordinating with equipment suppliers).

11. Intellectual Property 

Any templates, workflows, dashboards, or digital tools developed by the Company as part of a project are licensed for the Client’s ongoing use in their farm operations. The Company retains ownership of its underlying methods, templates, and business processes and may reuse general (non-Client-specific) methodologies in work for other clients. 

12. Cancellation and Termination 

12.1 Either party may cancel a scheduled project or service visit with reasonable written notice. Cancellations made with less than 48 hours’ notice may be subject to a cancellation fee. 

12.2 The Company reserves the right to suspend or terminate services if payment is not received in accordance with these Terms, or if the Client provides false or misleading information relevant to the scope of work. 

12.3 Support contracts may be terminated by either party in accordance with the notice period specified in the individual contract.

13. Website Use 

13.1 The content on www.wetaskiwinagritech.ca is provided for general informational purposes about the Company’s services and is not a binding offer until a formal quote or agreement is issued. 

13.2 The Company makes reasonable efforts to keep website content accurate and up to date but does not guarantee that pricing, service descriptions, or availability shown on the website are current at all times. 

14. Governing Law 

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising from these Terms or the services provided shall be subject to the exclusive jurisdiction of the courts of Alberta. 

15. Changes to These Terms 

The Company may update these Terms from time to time. Updated Terms will be posted on the website with a revised effective date. Continued use of the website or services after such updates constitutes acceptance of the revised Terms.
